These Terms and Conditions (“Terms”) govern your access to and use of the website and services provided by Somantra Pty Ltd (ABN 99 689 056 399) (“Somantra”, “we”, “us”, “our”). By accessing our website or engaging with our services, you agree to these Terms.
1. Limitation of Liability
Somantra provides AI-powered search visibility analytics and insights. Our outputs are informational in nature and do not constitute a guarantee of any specific search ranking, traffic outcome, or business result. To the maximum extent permitted by law, Somantra is not liable for any direct, indirect, incidental, or consequential loss arising from your reliance on our platform or reports. Our total liability in any circumstance is limited to the fees paid by you under your applicable enterprise agreement.
2. Acceptable Use
You may only use Somantra’s platform and services for lawful purposes and in accordance with your enterprise agreement. You must not:
- Scrape, crawl, or extract data from our platform by automated means without written permission
- Attempt to reverse-engineer, decompile, or derive the underlying algorithms or AI models
- Use our platform to develop a competing product or service
- Resell, sublicense, or otherwise commercially exploit our outputs without prior written consent
Breach of these conditions may result in immediate termination of access and legal action.
3. Intellectual Property
All content, software, AI models, algorithms, scoring methodologies, and data on the Somantra platform are the exclusive intellectual property of Somantra Pty Ltd or its licensors. Nothing in these Terms or your enterprise agreement transfers ownership of any intellectual property to you. You are granted a limited, non-exclusive, non-transferable licence to use our platform solely for your internal business purposes during the term of your agreement.
4. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Competition and Consumer Act 2010 (Cth) or the Australian Consumer Law (“ACL”), including any consumer guarantees that cannot lawfully be excluded. Where the ACL applies and permits us to limit our liability, we limit our liability to re-supplying the relevant service.
5. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising out of or in connection with these Terms will first be addressed through good-faith negotiation. If unresolved within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of New South Wales.
